Welcome to Stone Candles ("Stone Candles," "Company," "we," "us," or "our"). These Terms & Conditions ("Terms") govern access to and use of our website, online store, products, and related services (collectively, the "Services"). By accessing the website, creating an account, placing an order, or purchasing a product, you agree to these Terms and the policies incorporated by reference.

1. Eligibility & Online Store Use

You represent that you are at least the age of majority in your state or jurisdiction of residence, or that you are using the Services under the supervision and consent of a parent or legal guardian where permitted by law.

We grant you a limited, revocable, non-exclusive and non-transferable right to access and use the website for lawful shopping and personal use, subject to these Terms. We may refuse service, restrict access, suspend accounts, or cancel orders where permitted by law, including when we reasonably believe conduct is fraudulent, unlawful, abusive, harmful to our interests, or in violation of these Terms.

2. Prohibited Uses

You may not use the website, Services, or content for unlawful, fraudulent, abusive, or unauthorized purposes. Prohibited activities include:

• Infringing or violating intellectual property, privacy, publicity, or other rights.
  
• Submitting false, misleading, defamatory, unlawful, obscene, abusive, or harmful content.
• Uploading or transmitting malware, viruses, worms, malicious code, or other destructive technology.
• Collecting or tracking others' personal information without authorization.
• Spamming, phishing, pharming, pretexting, spidering, crawling, scraping, or using unauthorized automated means to access or collect website content.
• Interfering with or circumventing website, account, payment, or security features.
• Reproducing, copying, selling, reselling, reverse-engineering, or commercially exploiting the website or Services except as expressly authorized by us in writing.

3. Product Information & Website Content

We make reasonable efforts to display product descriptions, specifications, dimensions, colors, images, pricing, availability, and other information accurately. Actual products may vary slightly from photographs or digital representations because of displays, photography, lighting, raw materials, manufacturing processes, and normal production variation.

Website content is provided for general informational purposes and may be changed, corrected, or updated. Historical information may not be current. We do not guarantee that all website information will always be complete, current, or error-free.

4. Pricing, Promotions & Errors

Prices are displayed in U.S. dollars unless otherwise stated and may change without notice. Promotions, discounts, product availability, shipping charges, transit estimates, and offers may also change or be discontinued.

We reserve the right to correct typographical errors, inaccuracies, or omissions relating to product descriptions, pricing, promotions, shipping charges, transit times, availability, or other information, including after an order has been submitted. If we cannot fulfill an affected order on the corrected terms, we may cancel the order and refund amounts collected for the canceled item or order.

5. Orders & Order Acceptance

Submitting an order does not constitute final acceptance by Stone Candles. We may accept, decline, limit, or cancel orders where permitted by law, including for product availability, listing errors, suspected fraud, payment issues, shipping restrictions, quantity limitations, or other legitimate business reasons.

We may limit quantities purchased per person, household, account, payment method, billing address, or shipping address. We may also limit or prohibit orders that reasonably appear to be placed by unauthorized dealers, resellers, distributors, or other commercial purchasers.

If we cancel an order after collecting payment, we will refund the applicable canceled amount to the original payment method.

6. Billing, Account & Contact Information

You agree to provide current, complete, and accurate purchase, billing, shipping, account, email, telephone, and payment information. You are responsible for promptly updating the information we need to process transactions and communicate with you.

If you create an account, you are responsible for maintaining the confidentiality of your login credentials and for activity conducted through your account. Please notify us promptly if you believe your account or credentials have been accessed or used without authorization.

7. Payment

Payment is due according to the options displayed at checkout. By submitting payment information, you represent that you are authorized to use the selected payment method and authorize Stone Candles and its payment processors to charge the applicable order total, including disclosed taxes, shipping, and other charges.

Independent third-party providers may process payments and may be subject to their applicable terms and privacy practices.

Wholesale & Approved Net Terms

Stone Candles offers net payment terms only to select wholesale or commercial customers expressly approved by Stone Candles. Approval for Net terms is at Stone Candles’ sole discretion and may be subject to separate credit requirements, credit limits, or written payment terms.

All invoices issued under approved Net payment terms must be paid in full according to the due date stated on the invoice.

Late Payment Fees: Beginning with the first month an invoice is past due, a late payment fee equal to 5% of the outstanding balance will be assessed each month that the invoice remains unpaid, until the account is paid, otherwise resolved, or referred to collections, to the extent permitted by applicable law.

Collections: If an invoice remains unpaid for 120 days after its Net payment due date, Stone Candles reserves the right to refer the outstanding account to a third-party collection agency or collections service.

Upon referral to collections, an additional collection fee equal to 25% of the total outstanding balance at the time of referral, including accrued late payment fees, will be added to the amount due, to the extent permitted by applicable law.

By submitting a wholesale or commercial order under approved Net payment terms, the customer acknowledges and agrees to these Payment Terms.

8. Sales Tax

We will collect applicable sales, use, or other transaction taxes as required by law. Customers claiming tax-exempt status must provide valid documentation when required and before the applicable transaction is completed.

9. Shipping, Processing & Delivery

Shipping methods, processing times, delivery estimates, free-shipping programs, Checkout+ benefits, package-protection terms, exclusions, and other fulfillment rules are governed by our current Return, Refund & Shipping Policy, which is incorporated into these Terms by reference.

Customers are responsible for providing a complete and accurate shipping address. We may charge additional carrier or handling fees for incorrect addresses, refused delivery, redelivery, address correction, storage, or other customer-caused delivery issues.

Carrier delivery estimates are not guaranteed unless the applicable carrier explicitly states otherwise.

10. Shipping Damage, Lost Packages & Delivery Claims

Shipping-related claims, including damaged, missing, or lost packages, are subject to the deadlines, documentation requirements, eligibility rules, exclusions, and claim procedures stated in our current Return, Refund & Shipping Policy.

The current policy requires reporting shipping-related issues within 7 days of delivery and requires customers to retain original packaging materials when reporting shipping damage. If we later update the Return, Refund & Shipping Policy, the version applicable to the transaction will govern to the extent permitted by law.

11. Returns, Refunds & Exchanges

Returns, refunds, exchanges, gifts, exclusions, return shipping, refund timing, partial refunds, international returns, Checkout+ benefits and limitations, and return authorization procedures are governed by our current Return, Refund & Shipping Policy, which is incorporated into these Terms by reference and forms part of the purchase agreement.

The current policy generally requires return requests within 30 days of delivery and requires eligible items to be unused, in original condition, returned in original packaging, and accompanied by proof of purchase or order confirmation. Returns must be authorized before you send merchandise back.

The Return, Refund & Shipping Policy also includes product- and service-specific exclusions, including rules for clearance or final-sale merchandise, 25 lb fragrance oil orders, bulk orders, Checkout+, international orders, and items returned damaged, used, incomplete, or outside the standard return window.

12. Order Changes & Cancellations

Orders may enter processing or fulfillment quickly. Once an order has entered fulfillment, production, or shipment, we may be unable to modify or cancel it. Customers should contact us promptly about requested changes or cancellations; we do not guarantee we can complete a requested modification or cancellation.

13. Product Availability & Service Changes

Products and Services are subject to availability. We may limit quantities, discontinue products, modify product offerings, suspend features, or change the Services where permitted by law. Display of a product does not guarantee continued or current availability.

14. Product Use & Safety

Customers are responsible for reading and following all product instructions, warning labels, safety information, care instructions, technical documents, and usage guidelines supplied with or applicable to a product. Products should be used only for their intended purpose and in accordance with applicable instructions.

Failure to follow applicable warnings, handling requirements, burn instructions, dilution or usage guidance, storage conditions, or other safety instructions may cause reduced performance, property damage, fire, injury, or other hazards.

15. Raw Materials, Candle-Making Supplies & DIY Products

Certain products sold by Stone Candles, including fragrance oils, waxes, wicks, vessels, bases, additives, packaging components, and other raw materials or candle-making supplies, may be used as ingredients or components in products manufactured, blended, repackaged, or otherwise produced by the purchaser.

Customers purchasing raw materials or components are responsible for determining the suitability, compatibility, safety, regulatory compliance, and appropriate usage level of those materials for their intended application and for conducting appropriate testing before commercial production, resale, repackaging, or incorporation into a finished product.

The performance of an individual raw material does not guarantee the safety, stability, compatibility, performance, or regulatory compliance of a finished product made with that material. Formulation, concentration, processing, packaging, storage, interactions with other ingredients, and intended use may affect finished-product performance.

Stone Candles is not responsible for the formulation, manufacturing, testing, labeling, regulatory compliance, marketing claims, or performance of finished products independently manufactured, blended, repackaged, or sold by customers using materials purchased from Stone Candles, except to the extent liability cannot lawfully be excluded.

Customers must review and follow applicable product instructions, Safety Data Sheets (SDS), warnings, recommended usage guidance, and applicable laws and regulations before using raw materials or components.

16. Flammability, Combustibility & Material Handling

Some fragrance oils, waxes, solvents, oils, raw materials, and finished products may be combustible or require specific handling and storage precautions. Customers must review the applicable product label, SDS, technical documentation, and safety instructions before use.

Handle, clean, store, and dispose of materials, clothing, rags, wipes, or other items contaminated or saturated with oils or combustible materials in accordance with applicable safety instructions and laws. Stone Candles is not responsible for unsafe handling, storage, processing, or use of products contrary to applicable warnings or instructions.

17. California Proposition 65

Certain products or raw materials may contain naturally occurring or other chemical constituents that are subject to California Proposition 65 warning requirements. Where a Proposition 65 warning is required for a product sold by Stone Candles, the applicable warning may be provided on the product, packaging, product page, or otherwise as required by applicable law.

Purchasers who use Stone Candles raw materials to manufacture, repackage, or sell their own finished products are responsible for evaluating the Proposition 65 obligations applicable to their own finished products and exposures.

18. Product Variations

Certain products contain natural, handmade, poured, blended, or otherwise variable materials. Reasonable differences in color, fragrance, texture, finish, dimensions, appearance, or other characteristics may occur between products or production batches and are not necessarily defects.

19. Health & Informational Content

Website content is not intended as medical advice, diagnosis, or treatment. Product descriptions, articles, reviews, and other informational content should not be used as a substitute for advice from an appropriately qualified healthcare professional when medical guidance is required.

20. Intellectual Property

Unless otherwise stated, the website and its content, including trademarks, logos, product names, photographs, graphics, videos, text, designs, packaging, layouts, and other materials, are owned by or licensed to Stone Candles and are protected by applicable intellectual-property laws.

You may not reproduce, distribute, display, sell, lease, transmit, modify, create derivative works from, reverse-engineer, or commercially exploit our website or content without prior written permission, except for ordinary personal use of the website.

21. Reviews, Comments & User-Submitted Content

If you submit a review, photograph, comment, testimonial, suggestion, idea, or other content, you represent that you have the right to submit it and that it does not violate another person's rights or applicable law.

You grant Stone Candles a non-exclusive, worldwide, royalty-free right to use, reproduce, adapt, publish, display, distribute, and promote submitted content in connection with our business, website, products, and marketing, subject to applicable law and our Privacy Policy.

We may moderate or remove user content where permitted by law and applicable platform or review policies. You remain responsible for the accuracy and legality of content you submit.

22. Third-Party Tools, Services & Links

The Services may include or link to third-party websites, payment processors, shipping providers, package-protection services, applications, social platforms, or other tools that we do not control. Third-party services may be subject to their own terms and privacy policies.

We are not responsible for the content, availability, security, accuracy, policies, or independent acts of third-party services except to the extent required by applicable law.

23. Promotions, Coupons, Credits & Gift Cards

Promotions, coupon codes, discounts, credits, loyalty rewards, and gift cards may be subject to additional terms and restrictions. Unless otherwise stated, promotions may not be combined, have no cash value, may exclude certain products, and may be modified or discontinued where permitted by law. Gift cards and stored-value products remain subject to applicable law.

24. Resale, Wholesale & Commercial Transactions

Consumer website purchases are intended for personal use unless otherwise authorized. We may limit or cancel orders that reasonably appear to be intended for unauthorized resale or distribution.

Wholesale, private-label, custom manufacturing, bulk, business-to-business, and other commercial transactions may be governed by separate quotations, purchase terms, policies, or agreements. Where separate written terms apply to a transaction, those terms control that transaction to the extent they conflict with these general e-commerce Terms.

25. Privacy

Our collection, use, and disclosure of personal information are governed by our current Privacy Policy, which is incorporated into these Terms by reference.

26. Email & SMS Communications

If you voluntarily subscribe to marketing email or text communications, your participation is governed by the consent disclosures provided at signup and applicable law. Marketing consent is not a condition of purchase. You may opt out using the instructions provided in the applicable communication.

We may still send transactional communications concerning orders, accounts, security, or customer service where permitted by law.

27. Fraud, Abuse & Chargebacks

We reserve the right to investigate suspected fraud, unauthorized transactions, abusive purchasing activity, promotion abuse, account misuse, or improper chargebacks. Customers are encouraged to contact Stone Candles about an order or billing dispute so we can investigate and resolve the matter. Nothing in this section limits lawful consumer rights relating to payment disputes.

28. Disclaimer of Warranties

Except as expressly stated by Stone Candles or required by applicable law, the website and Services are provided on an "as available" basis. We do not guarantee that website access will always be uninterrupted, timely, secure, or error-free.

To the fullest extent permitted by applicable law, we disclaim warranties not expressly stated in these Terms or accompanying product documentation, including implied warranties to the extent they may lawfully be disclaimed. Nothing in these Terms limits warranties or consumer rights that cannot legally be waived or excluded.

29. Limitation of Liability

To the fullest extent permitted by applicable law, Stone Candles and its affiliates, officers, directors, employees, agents, contractors, suppliers, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from use of the website, Services, or products, including lost profits, lost revenue, lost savings, loss of data, or similar damages.

For raw materials and components purchased for customer manufacturing or repackaging, Stone Candles' responsibility does not extend to the customer's independently manufactured or repackaged finished product except to the extent required by law.

30. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Stone Candles and its affiliates, officers, directors, employees, agents, contractors, licensors, suppliers, and service providers from third-party claims, liabilities, damages, or reasonable expenses arising from your violation of these Terms, unlawful misuse of the Services, infringement of another party's rights, or manufacture, labeling, marketing, resale, or distribution of customer-created products using raw materials purchased from Stone Candles.

31. Termination & Suspension

These Terms remain effective while you use the Services. We may suspend or terminate access, accounts, or Services where permitted by law if we reasonably believe you have violated these Terms, applicable law, or website security requirements. Obligations and liabilities incurred before termination, including amounts properly due, survive termination to the extent applicable.

32. Force Majeure

Stone Candles will not be responsible for delay or failure to perform caused by circumstances beyond our reasonable control, including natural disasters, fires, floods, severe weather, transportation interruptions, labor disruptions, supplier shortages, utility failures, government actions, epidemics, wars, civil disturbances, or comparable events.

33. Governing Law & Dispute Resolution

33.1 Governing Law. These Terms, and any dispute, claim, or controversy arising out of or relating to these Terms, your use of the Stone Candles website, or your purchase or use of Stone Candles products or services, shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict-of-law principles, except to the extent otherwise required by applicable law.

Nothing in these Terms is intended to limit or waive any rights or protections available to consumers under applicable federal, state, or local law that cannot lawfully be limited or waived.

33.2 Informal Dispute Resolution. Before initiating formal legal proceedings, you and Stone Candles agree to make a good-faith effort to resolve any dispute. A party asserting a dispute should provide written notice describing the nature of the dispute and the requested resolution. The parties will have thirty (30) days after receipt of the notice to attempt to resolve the matter informally.

33.3 Venue and Jurisdiction. Except where prohibited by applicable law or where a consumer has a legal right to bring a claim in another jurisdiction, any dispute or legal proceeding arising out of or relating to these Terms, the Stone Candles website, or the purchase or use of Stone Candles products or services shall be brought in a state or federal court of competent jurisdiction located in Los Angeles County, California.

You consent to the jurisdiction of such courts, subject to any applicable consumer rights regarding jurisdiction or venue.

33.4 Small Claims. Nothing in these Terms prevents either party from bringing an individual claim in small claims court where the claim qualifies, and applicable law permits it.

33.5 Consumer Rights. If you are a consumer, this section shall not deprive you of any mandatory rights or remedies provided under the laws applicable to you that cannot legally be waived by contract.

34. Changes to These Terms

We may update these Terms from time to time. We will post the current version on the website with an updated effective date. Changes will apply prospectively as required by applicable law. Continued use of the Services after an effective update constitutes acceptance to the extent permitted by law.

35. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, the remaining provisions will continue in effect to the fullest extent permitted by law.

36. No Waiver

Our failure to exercise or enforce a right or provision of these Terms does not constitute a waiver of that right or provision.

37. Entire Agreement & Incorporated Policies

These Terms, together with our Privacy Policy, Return, Refund & Shipping Policy, Legal or safety notices expressly incorporated by reference, and any transaction-specific terms, constitute the agreement governing use of our e-commerce Services.

Separate terms may apply to wholesale, private-label, custom manufacturing, bulk, or other commercial transactions. If separate written terms apply to a particular transaction, those terms govern that transaction to the extent of any conflict with these general e-commerce Terms.
